ESOP Appraisal and Valuation

At Brown Edwards we understand that credible valuations are critical to ESOPs. Because of increasing scrutiny of ESOP appraisals, as well as the professional judgment required in the appraisal of ESOP-owned stock, your appraiser should have:

  • Independence from the trustee, company, and any shareholders or owners of the business
  • Experience in the valuation of ESOP-owned companies
  • Experience in the valuation of businesses in your company’s specific industry
  • Professional appraiser credentials, such as an Accredited Senior Appraiser (ASA), Accredited in Business Valuation (ABV), or Certified Valuation Analyst (CVA)

Timothy J. Gibbons is a Principal at Brown Edwards in the Charleston office. He has provided valuation and financial advisory services for numerous purposes including estate and gift taxation, mergers and acquisitions, buy/sell agreements, corporate and strategic planning, ESOPs, shareholder disputes, marital dissolutions, and other tax, litigation, and corporate related matters.

Mr. Gibbons’ experience includes business valuations of entities in numerous industries including manufacturing, wholesale distribution, energy, retail, construction, healthcare services, professional services, food service, and holding company/estate planning vehicles. Mr. Gibbons has also provided litigation support services related to business valuations, shareholder disputes, marital dissolution, wage impairment, lost profits in connection with business interruption, and other business matters.

Prior to co-founding Gibbons & Kawash, A.C. in 1992, Mr. Gibbons co-founded a predecessor firm in 1983 and was a supervisor at Main Hurdman (now KPMG) from 1978 through 1982.

Brad is a partner in the Richmond office with over 30 years of experience in business tax planning. He specializes in tax consulting, tax planning, and management advisory services for closely-held businesses and corporate executives. In addition to his extensive tax work, he performs business valuations for buy sell agreements, transaction assistance and divorce settlements. He has served as an expert witness in trial on valuation and tax matters. His experiences in dealing with the IRS help him generate positive results for his clients in audit disputes.

Brad holds a Bachelor of Science in Accounting from Virginia Tech and a Masters of Taxation from Virginia Commonwealth University. He is a member of the American Institute of Certified Public Accountants and Accredited Business Valuations.

Brad serves the community through his involvement Midlothian Rotary Club, Midlothian Rotary Foundation, Midlothian YMCA, Richmond Chamber of Commerce, and Salisbury Country Club.

Brad was born in Roanoke, Virginia, and is proud to say all of his family are Hokies and Pamplin School Business graduates. He enjoys walking his golden retriever, fishing and watching all sports.

Harry is a Principal in the firm’s Roanoke office. Having more than 30 years of experience in the taxation area of the profession, Harry has significant expertise in assisting family owned businesses and individual with their taxation planning. In addition, he is well known for his knowledge in the business valuation and litigation support area working with clients such as the Department of Justice, Norfolk Southern, and many medium and small sized companies. He has also assisted and advised companies in various sales/purchase of business, including transactions as large as $1 Billion. Harry also serves as a wealth advisor in Alliance Wealth Strategies, the firm’s wealth advisory area.

Harry has a Bachelor and Master degrees in Accountancy from Virginia Tech. He is a member of the American Institute of Certified Public Accountants where he received the designation of Accreditation in Business Valuation and Certified in Financial Forensics. He has taught accounting at VA Tech as well as for the AICPA in business valuation and litigation and areas of taxation. He is also a member of the Virginia Society of Certified Public Accountants, is involved in various civic organizations and is a former officiate for NCCA Basketball.

Michael E. Fleenor is a director based in the Bristol State Street office. He holds the Accredited in Business Valuation (ABV) credential from the American Institute of Certified Public Accountants (AICPA). He is licensed in the Commonwealth of Virginia and the State of Tennessee. Michael specializes in business valuation and provides audit and attest services for employee benefit plans, privately held companies, governmental entities, and nonprofit organizations. He also serves corporate and individual tax clients.

Michael is a native of Bristol, Virginia and graduated from King College with a Bachelor of Arts in Business Administration and Economics with concentrations in accounting, finance, and management. He is a member of the AICPA, the Forensic and Valuation Services section of the AICPA, and the Virginia Society of Certified Public Accountants (VSCPA). Michael is a member of the Tri-Cities Estate Planning Council and Land of the Sky Estate Planning Council of Western North Carolina. He has previously served as a member of the VSCPA Peer Review Committee.

Michael is actively involved in community organizations and has served on the Board of Directors of the Rotary Club of Bristol, Virginia-Tennessee and Healing Hands Health Center. He had been recognized as a William E. Skelton Fellow and Paul Harris Fellow of Rotary International.

Virginia is an audit and tax director based in the Bristol State Street office. She provides audit, assurance, and tax services to a variety of for profit and non-profit entities, along with tax services for individuals. Virginia focuses much of her time on construction client engagements and employee benefit plan audits. She also provides business valuation services for the purpose of acquisition, gift tax, and estate tax.

Virginia graduated from Emory & Henry College in 2004 with a Bachelor of Science degree in Business Management with an Accounting emphasis. She earned the professional designation of Certified Valuation Analyst in 2009 from the National Association of Certified Valuators and Analysts. She is a member of the Virginia Society of Certified Public Accountants, the American Institute of Certified Public Accountants, and the National Association of Certified Valuators and Analysts.

Prior to merging with Brown Edwards, he was a Senior Manager at Dixon Hughes Goodman & Company, LLP.  Prior to employment with Dixon Hughes Goodman LLP, successor to Goodman & Company, LLP, he was employed by the accounting firms Terry, Lockridge & Dunn and Persinger & Company.

James has experience in corporate, pass-through, and individual tax returns.  He is experienced in a variety of industries, including medical and professional practices real estate management and agents, food service, and others.

VALUATION SERVICES

James has experience preparing valuation reports for businesses in a variety of industries including retail, wholesale, service, medical practices, insurance, construction, investment, manufacturing, and technology companies.  The structure of these entities has included corporations, sole proprietorships, partnerships, limited liability companies, and family limited partnerships.  He has prepared the reports for a variety of purposes including gift and estate tax, sale of business, issuing of stock options, and divorce and other litigation purposes.

LITIGATION SERVICES

James has been qualified as an expert witness in the Virginia courts and has litigation experience in the area of valuations.

EDUCATION

James has a Bachelor of Arts degree in Accounting from Wartburg College.  He is a certified public accountant and holds two specialized credentials from the American Institute of Certified Public Accountants:  accredited in business valuation (ABV) and certified in financial forensics (CFF).
